NBLO’s lawyers assisted in the incorporation, registration and approval by the Bulgarian Financial Supervision Commission (FSC) of an Alternative Investment Fund Manager (AIFM) and Alternative Investment Fund (AIF). NBLO’s team provided overall assistance on the whole setup of the AIFM and the AIF, in particular:

  • advising on the appropriate type of corporate vehicles for the AIFM and the AIF and preparation of the required incorporation documents;
  • drafting the required internal documentation of the AIFM and the AIF (including Investment Policy; Data Protection Rules; Prevention of Money Laundering Rules; documentation relating to decision-making, etc.).

NBLO advised the applicant on their authorisation application to the FSC.

The approval granted by the FSC allows for the Alternative Investment Fund Manager to manage the AIF and allows the AIF to operate.

On authorisation, NBLO’s client is one of some 20 Alternative Investment Fund Managers authorised in Bulgaria, a member state of the EU. Bulgaria’s financial services and asset management sector is experiencing a fast growth and NBLO is well-placed to support such growth and looks forward to doing so.
