We offer a full range of legal services in relation to company incorporation. We have experience in setting up all manner of corporate entities, including new companies, representative offices and charities. Our integrated approach and knowledge of multiple overseas jurisdictions allows us to put in place the most suitable corporate structure for our clients, whether is involves a cross border element or not.
Our most recent brochure on company incorporation is available here.
We are well versed in the due diligence procedures required prior to an acquisition or investment in Bulgaria and have extensive experience preparing due diligence reports. We can adapt our procedure to suit the client's timing, costs and other needs, which will often depend upon the nature and size of the target.
When contemplating entry into the Bulgarian market, many international companies decide to participate in a joint venture structure with a local Bulgarian company. We can help these clients to set up the joint venture company and advise on the commencement of its operations in Bulgaria. We also provide a range of legal services for clients concerning these companies throughout the life of the joint venture and we can draft and negotiate any shareholders' (or joint venture) agreements which may be required.
Whilst we have not advised on listings on the Bulgarian Stock Exchange in Sofia, we are familiar with the legal and regulatory environment, and underlying EU law. We have experience advising companies listed, or contemplating listing, in the UK, who are conducting activity in Bulgaria - and accordingly we have a sound understanding of the constraints under which they are conducted.
We provide expert advice to clients seeking clearance from the relevant competition authorities. Specifically, we have experience providing advice on abuse of market dominance in transactions involving national and/or EU elements and have helped clients' consumer marketing promotions comply with the applicable law. We also offer our services to clients who require representation in proceedings before the Bulgarian Competition Commission in relation to concentration clearances and have had experience participating in both non-contentious and contentious actions at national and EU level.
We advise on a broad range of commercial contracts, both supplier and customer; predominantly they involve one party which is Bulgarian and another which is not. Our particular expertise is in the field of drafting standard terms and conditions on behalf of suppliers for on-line and off-line use. We also assist in the negotiation of licensing, franchising and marketing arrangements.
Bulgaria has become one of the leading European locations for outsourcing services. The AT Kearney Annual Survey for 2009 ranked Bulgaria 13th as a global outsourcing destination. To tap into the advantages of outsourcing a wide range of business processes, businesses need to ensure that a range of complex legal protections and guarantees are in place. We can help deliver such flexibility for outsourcing companies by preparing and negotiating the master and ancillary outsourcing contractual terms. It will also be essential for these businesses to ensure there are adequate transitional services in place both when the processes are first outsourced and again upon cessation or replacement of a previous provider. We can help Bulgarian providers ensure that they are adequately protected in the initiation and continuation phases by ensuring the appropriate allocation of risk.
We appreciate that commercial contracts need to meet clients' commercial goals but also keep within the requirements of the intricacies of Bulgarian law. We also appreciate that the contracts we advise on predominantly involve companies in many jurisdictions and therefore there are often cross-jurisdictional issues which need to be addressed.
We offer quality service, advising on the full spectrum of finance and finance related issues. We advise borrowers, lenders, lessors, lessees, debt and equity issuers, and guarantors in a wide range of capital market and other financial transactions. We deliver complex and comprehensive advice on all aspects of the financing including regulatory, tax, custody, and other aspects. We bring together the knowledge and expertise of lawyers from different practice groups to provide effective and creative solutions to our client's corporate financing needs.
We are able to advise on all aspects of the acquisition of a Bulgarian company or business, including both the preparation and negotiation of a share or asset purchase agreement, and also the range of ancillary documents typically required (e.g. Heads of Terms, confidentiality agreements, board and shareholder resolutions, disclosure letters and assignment agreements).
